These are the terms for using Advitics. The agreement is entered into between your business and Covision Technology AS, company no. 991 248 560, Hamar. The service is provided to businesses and is not aimed at consumers. Norwegian law applies, and Oslo District Court is the venue. The limitation of liability in § 13 does not affect the rights a data subject has under GDPR Article 82.
The authoritative version of this agreement is the Norwegian one at advitics.no/vilkar. This English translation is provided for convenience. In case of conflict, the Norwegian text prevails.
1. Parties and acceptance
1.1 Who the agreement is between
- Supplier: Covision Technology AS, company no. 991 248 560, Hamar, Norway ("Advitics", "we", "us"). Advitics is a trading and product name provided by Covision Technology AS.
- Customer: The legal entity that has accepted an order confirmation referring to these terms, or that has otherwise accepted them in writing ("the Customer", "you").
1.2 Transfer to Advitics AS
Advitics is currently operated by Covision Technology AS. The Customer expressly consents to the agreement, together with the data processing agreement (DPA) and the service level agreement (SLA), being transferred to Advitics AS once that company is registered in the Norwegian Register of Business Enterprises. The transfer will be notified in writing at least 30 days in advance. The terms do not change as a result of the transfer. The Customer may object only if the transfer materially worsens the Customer's rights or obligations; in that case the Customer may terminate the agreement without a notice period.
1.3 Businesses only
The service is directed exclusively at businesses. The agreement does not apply to consumers, cf. the Norwegian Consumer Purchases Act (forbrukerkjøpsloven) § 1 and the Norwegian Cancellation Act (angrerettloven) § 1. On acceptance the Customer confirms that:
- the Customer is a legal entity or sole proprietorship registered in the Norwegian Register of Business Enterprises or equivalent
- the service is acquired for use in the Customer's business
- the person accepting the terms has authority to bind the Customer
If a consumer nevertheless creates an account, the account is closed as soon as this is discovered, and the agreement is deemed not to have been entered into.
1.4 When the agreement becomes binding
The agreement becomes binding when the Customer accepts an order confirmation referring to these terms, electronically in the service or by signature. If the Customer starts using the service without having accepted an order confirmation, the terms apply from the first use.
2. Definitions
- AI agent — software using large language models for advice, analysis and actions on the Customer's behalf. Includes the orchestrator Sigrid and the functions it controls.
- AI Act — Regulation (EU) 2024/1689 on artificial intelligence.
- Workspace — the Customer's logically isolated area in the Platform, with its own roles and its own audit log.
- Data processing agreement (DPA) — the agreement between the parties under GDPR Article 28.
- GDPR — the General Data Protection Regulation (EU) 2016/679, implemented in Norwegian law by the Norwegian Personal Data Act (personopplysningsloven).
- Order confirmation — the document that sets out the parties, the fee, the service level and which contract documents are included, and that the Customer accepts.
- Confidential information — information received under the agreement that is marked confidential, or that by its nature is to be regarded as confidential.
- Customer Data — all data, including personal data, that the Customer or the Customer's users upload, connect or generate in the service. Usage Counts are excluded from Customer Data.
- The Platform — Advitics' multi-customer platform with APIs, user interface, AI agents, integrations, dashboards and documentation.
- Subcontractor — a third party processing personal data on behalf of Advitics; the data processing agreement calls the same thing a sub-processor. The list is in the privacy notice § 8.
- The Service — the Platform and everything Advitics delivers under the agreement.
- Usage Counts — Advitics' own counts per Workspace, UTC day, feature and event, without user IDs, event times, content or free text. Processing is described in the privacy notice § 3.12.
3. What the service is
3.1 Scope
Advitics is a service for prospecting and customer follow-up that helps businesses selling to other businesses find new customers and follow up the ones they have. The service consists of:
- a multi-customer platform with a customer register (CRM), tasks, a financial overview and reports
- suggestions for new customers from a register of Norwegian businesses, with an assessment of how well they fit the Customer
- AI functions with the orchestrator Sigrid, which answers questions, assesses data and proposes actions the Customer confirms itself
- integrations with the Customer's accounting system (Tripletex or Fiken) and email account (Gmail)
Which functions are switched on for the Customer is shown in the service.
3.2 AI transparency under AI Act Article 50
- The service uses generative AI. You interact with an AI agent, not a human.
- The AI agent is marked as AI where the Customer converses with it. Content the AI functions produce may contain errors and shall be checked, cf. § 12.3.
- AI answers are advisory and not invariably correct. The agents may give incomplete or outdated information, and do not replace professional judgement, audit or legal advice.
- The service is classified as a limited-risk system — neither high-risk nor prohibited use. The service does not make automated decisions producing legal effects for individuals, and GDPR Article 22 does not apply.
- The Customer has its own AI literacy obligation. Under Article 4 of the AI Act, whoever deploys an AI system must ensure that its own users have sufficient competence to use it responsibly. The obligation rests on the Customer directly and cannot be assumed by Advitics. We make documentation and guidance available in support.
3.3 Changes to the service
We develop the service continuously. Material functional or architectural changes affecting the Customer's use are notified at least 30 days in advance. Minor improvements, security patches and bug fixes are rolled out continuously without notice.
4. Access and accounts
4.1 Customer separation
Each Customer gets its own logically isolated area with its own roles and its own audit log. Data from different Customers resides in customer-specific schemas, and the correct schema is selected on the server after authentication and a check of active membership for each request. The user interface and the API reach the customer-specific schemas through a database role that is not a superuser and that cannot bypass the database's access rules. For technical reasons, some data resides in tables shared between Customers, in a separate platform database: user accounts and memberships, conversations and memory in the AI functions, the Customer's audit log and enquiries about the service. The enquiries are read and written through dedicated database roles that are not superusers, and there the database enforces the boundary between the Customers. The API reads and writes conversations and memory through a restricted database role that also cannot bypass the database's customer boundary. For the user accounts, memberships and the audit log the service filters on Customer in every query, and the boundary there is enforced by the service and not by the database.
4.2 Roles and permissions
The Customer's administrators assign roles to the Customer's users. Roles act as templates, and individual permissions can be overridden per user. The Customer is responsible for administering the user list, removing departed employees and adhering to the principle of least privilege.
4.3 Sign-in and strong authentication
Sign-in uses a Google account or a Microsoft account. Privileged actions — inviting users, changing roles, changing permissions — additionally require fresh confirmation with a passkey (WebAuthn). The Customer is responsible for ensuring passkeys and devices are not shared between users.
4.4 The Customer's responsibility for account security
The Customer is responsible for activity on the account, including actions performed by the Customer's users and by AI agents on the Customer's behalf. This responsibility does not apply to the extent that the activity is caused by Advitics' breach of its obligations under the agreement. The Customer shall notify us without undue delay of any suspected account compromise, leaked credentials or unauthorised access.
4.5 Sending domain registered by us on the Customer's behalf (Model A)
This section applies where the Customer has chosen for Advitics to register a dedicated domain for send-outs ("the Sending Domain"). If the Customer has chosen delegation on its own domain, § 4.6 applies instead. The models are equivalent; the choice is driven by the Customer's DNS access and preferences.
4.5.1 Ownership. The domain is registered with an accredited registrar with Covision Technology AS as registrant, is dedicated to the Customer's use, and does not form part of our other domain portfolio. The Customer is the rightful user with exclusive appropriation for the contract period. Registration, maintenance and DNS administration are included in the subscription.
4.5.2 Choice of domain name. We propose two to four names based on the Customer's company
name and market. The Customer selects one, or proposes a name itself that we validate for
availability. The Customer confirms the name does not infringe third-party trademark or
naming rights. We perform a basic check but are not responsible for conflicts the Customer
ought to have foreseen. The top-level domain is chosen by market: .no for Norwegian
campaigns, .se for Swedish, .dk for Danish, .fi for Finnish.
4.5.3 Use restrictions. We undertake to use the Sending Domain solely for the Customer's send-outs — never for our own marketing, for other Customers or for purposes outside the agreement — and to configure SPF, DKIM, DMARC and MX according to best practice and follow a warm-up procedure before the first send-out. The Customer undertakes that the content complies with the Norwegian Marketing Control Act (markedsføringsloven), the GDPR and § 5 of these terms, and accepts that breach of § 5 may result in an immediate pause in sending.
4.5.4 Technical authority. The Customer authorises us to configure DNS records for the Sending Domain, verify the domain with email providers, and receive and act on registrar notices in the Customer's interest. The authority covers the Sending Domain only and ends on transfer or release.
4.5.5 Transfer during the term. The Customer may at any time demand free transfer of the Sending Domain to its own registrar. We provide the transfer authorisation code and release the registrar lock within five business days. The receiving registrar's cost is borne by the Customer. We assist technically at no extra cost for 30 days after the transfer.
4.5.6 At the end of the agreement.
- (a) The Customer has 60 calendar days from the end date to demand transfer. The transfer is free of charge on our side.
- (b) If transfer is not demanded within the deadline, we may let the domain lapse at the next renewal date, or delete it on 30 days' notice. We never reuse the Sending Domain for other Customers or our own purposes.
- (c) If the domain contains the Customer's company name or trademark, we will not release it to a third party for at least 180 days after the end date.
- (d) Where the agreement is terminated for our breach under § 15.3, the deadline in (a) is extended to 120 days, and we cover the renewal cost at the receiving registrar for up to one year.
4.5.7 Disclaimer. We do not guarantee that a particular domain name is available, and we are not responsible for third-party trademark conflicts relating to the name the Customer chooses. Liability for loss caused by our negligent operation of the domain is governed by § 13.
4.6 Delegation on the Customer's own domain (Model B)
4.6.1 Application. Applies where the Customer retains ownership of its own domain and
creates a dedicated subdomain for send-outs, typically contact.customerdomain.no. The
subdomain is used solely for send-outs via the Platform.
4.6.2 The Customer's obligations. To create and maintain the DNS records we generate and deliver as copyable instructions when the service is set up; to ensure the DNS provider can make changes within reasonable time; not to change or remove the records without giving us at least seven days' notice; and not to use the subdomain for order confirmations or other email flows outside the purpose of the agreement. If the records are not in place within 14 days of entering into the agreement, we may offer a free switch to Model A, or postpone activation until DNS is ready.
4.6.3 Our obligations. To generate SPF, DKIM and DMARC records for the subdomain in a way that requires no changes to the Customer's main domain beyond an SPF addition; to operate the email provider account and sign with the Customer's delegated keys; to follow the warm-up procedure and monitoring as in Model A; and to notify without undue delay of deliverability problems that could spread to the Customer's main domain.
4.6.4 Reputation risk. The Customer acknowledges that a subdomain's reputation is partially, but not fully, isolated from the main domain at Gmail, Microsoft 365 and other receiving systems. In the event of serious deliverability incidents on the subdomain, this may have a limited adverse effect on the Customer's main domain. We have disclosed this and recommend Model A for Customers wanting full isolation.
4.6.5 At the end of the agreement. The DNS records remain under the Customer's control, and the Customer cleans them up itself if desired. We deactivate our side of the delegation within five business days of the end date. The Customer may keep the subdomain and change provider at any time — Model B does not lock the Customer in to Advitics.
4.6.6 Disclaimer. We are not responsible for loss caused by outages, misunderstandings or delays at the Customer's DNS provider. Where DNS friction persists, we recommend switching to Model A.
5. Acceptable use
5.1 General prohibitions
The Customer, the Customer's users and anyone acting on the Customer's behalf shall not:
- reverse engineer, decompile or otherwise attempt to derive source code, model weights, prompts or architectural detail, beyond what mandatory Norwegian law permits
- use the Platform, including AI answers, to train or develop competing models or services
- attempt to circumvent technical or administrative controls, including rate limiting, access rules, audit logging or budget limits
- attempt to manipulate the AI agents into breaching these terms, the AI Act or other legislation
- use the Platform in breach of export controls or sanctions imposed by Norway, the EU, the USA or the UN
- send illegal, offensive, hateful or similarly harmful content through the Platform
5.2 Prohibited AI use
The Customer shall not use the Platform for practices prohibited under AI Act Article 5. Regardless of whether the conditions in Article 5 are met, the Customer shall also not use the Platform for social scoring of natural persons, for subliminal or deliberately manipulative AI use causing significant harm, to exploit vulnerability related to age, disability or socioeconomic situation, for real-time remote biometric identification in public spaces, or for emotion recognition in the workplace or in education.
5.3 High-risk use requires prior consent
The Customer shall not use the Platform in contexts that Annex III to the AI Act classifies as high-risk — critical infrastructure, education, employment, essential private and public services, law enforcement, migration, administration of justice and democratic processes — without our express prior written consent. Such use may trigger requirements for additional documentation, conformity assessment and contractual addenda.
5.4 Consequences of breach
On breach of § 5 we may suspend the account immediately, require documentation and initiate a termination process. Gross breach entitles us to terminate for cause immediately, without a notice period.
6. Payment
6.1 Price and invoicing
The fee is set in the order confirmation, which is made available to the Customer electronically in the service. Unless otherwise agreed, the fee is invoiced in advance, monthly or quarterly, in Norwegian kroner, due 14 days from the invoice date.
6.2 Late payment
Late payment accrues interest under the Norwegian Late Payment Interest Act (forsinkelsesrenteloven). After 30 days' delay we may suspend access on seven days' written notice.
6.3 Price changes
Price changes are notified in writing at least 60 days before taking effect. The Customer may terminate the agreement at the end of the notice period if the change is not accepted.
6.4 Index adjustment
Notwithstanding § 6.3, prices may be index-adjusted once per calendar year according to Statistics Norway's consumer price index or a comparable index for IT services. Such adjustment may be made with no notice other than a note on the invoice.
6.5 Taxes
All prices are exclusive of value added tax and other public duties. For B2B sales within the EEA, the reverse charge mechanism applies where relevant.
7. Service level and support
If the service level agreement is included in the order confirmation, it forms part of the agreement, and the service level, the support hours, the response times, the compensation and the exclusions are set out in it and in the level the order confirmation specifies. If it is not included, the service is provided on a best-effort basis, with no contractual uptime or response time.
8. Privacy
8.1 Privacy notice
Our processing of personal data about the Customer's users is described in the privacy notice. It constitutes our information under GDPR Articles 13 and 14.
8.2 Data processing agreement
For personal data the Customer processes about its own customers, employees or others, and which is processed in the Platform, Advitics is a processor under GDPR Article 28. The data processing agreement is included in the order confirmation and applies from when the Customer accepts it. The Customer may request a signed version.
8.3 Subcontractors
The list of subcontractors is in the privacy notice § 8. Changes are notified at least 30 days before a new subcontractor is put into use. The Customer may object to a new subcontractor within 30 days on legitimate data protection grounds.
9. Ownership of data
9.1 The Customer's data
The Customer retains all rights to Customer Data. Advitics receives only a limited, non-exclusive right to process Customer Data to the extent necessary to deliver the service in accordance with the agreement and the data processing agreement.
Advitics processes Usage Counts as an independent controller. Counts for an individual Workspace are not disclosed to the Customer, including in the export under § 9.3. This does not limit data subjects' rights under the GDPR.
9.2 Our rights
Advitics retains all rights to the AI agents' orchestration logic, prompts, agent definitions and tool integrations (model weights belong to the language model providers), to platform code, user interface, API design, data models and documentation, and to aggregated, anonymised usage statistics that cannot be linked to a particular Customer.
9.3 Export on termination
On termination, the Customer may, for 30 days after the end date, request that Customer Data be handed over. Advitics then delivers Customer Data, including conversations with the AI functions and enquiries the Customer has sent Advitics about the service, in a structured, commonly used and machine-readable format (CSV or JSON) within 30 days of the request.
When the export window has expired and any handover has been completed, Customer Data is deleted from production, and Advitics confirms the deletion in writing. Remaining copies in backups are kept outside ordinary processing and deleted when the full backups they reside in are rotated out: from the main copy after about 90 days, and from the copy outside the production site at the latest within 12 months. If a backup is restored, the environment is kept barred from ordinary processing until documented deletions made after the point in time of the copy have been carried out again.
Covision's own accounting records about the customer relationship, such as invoices and the agreement, are retained for as long as the Norwegian Bookkeeping Act (bokføringsloven) § 13 requires. Customer Data, including accounting data retrieved from the Customer's integrations, is not retained to fulfil the Customer's own bookkeeping obligation.
10. Intellectual property
10.1 Licence to the Customer
Advitics grants the Customer a non-exclusive, non-transferable and terminable right to use the Platform in its own business during the contract period. If the order confirmation specifies a number of users, the right is limited to that number.
10.2 AI answers
Advitics assigns to the Customer any right Advitics may have in AI answers generated in the Platform, to the extent such rights arise and are capable of assignment. Norwegian law requires originality for copyright to arise — where no right arises, the answer is free for both parties, and there is nothing Advitics can withhold. We do not warrant that AI answers are original, do not infringe third-party rights, or are capable of copyright protection. The Customer bears the risk of verifying AI answers before use in commercial, legal or marketing contexts.
10.3 Third-party components
The Platform contains open source components and third-party services. These are subject to their respective licences. A list of core components is available on request.
10.4 Feedback
If the Customer provides feedback, ideas or suggestions about the Platform, Advitics receives a perpetual, royalty-free and transferable right to use the ideas and suggestions. The right does not cover personal data, confidential information or other Customer Data in the feedback. Such data is processed only under the data processing agreement.
10.5 Reference and marketing
Advitics may use the Customer's company name and logo to identify the Customer as a user of the service — on the website, in sales material and in a public customer list. The logo is used unaltered and in accordance with any written brand guidelines the Customer has made available. The right does not extend to implying a closer connection, partnership or endorsement relationship than actually exists.
Quotations, performance figures and customer stories require the Customer's prior written approval of the specific text. Approval given for one channel does not automatically apply to another. Email counts as writing.
Where a customer story features a named individual at the Customer, Advitics additionally obtains that person's own consent. For an image this follows from the Norwegian Copyright Act (åndsverkloven) § 104; for a name and quotation without an image it follows from data protection law. The Customer's approval under this agreement does not replace such personal consent, and cannot be given on the individual's behalf.
The Customer may opt out of use under this clause at any time by written notice. Advitics then stops putting the material into use and removes it from its own websites and actively distributed sales material as soon as practicable, and no later than 10 business days. An opt-out does not apply to material already printed or distributed.
The right under this clause lapses immediately in any event if the Customer terminates the agreement for cause because of Advitics' material breach.
11. Confidentiality
Each party shall treat the other party's confidential information with the same care as its own, and never with less than reasonable care. The information shall be used only to perform the agreement. The obligation applies during the contract period and for five years after termination.
The obligation does not apply to information that is or becomes publicly known without the recipient's fault, that was lawfully known before receipt, that is lawfully received from a third party without a duty of confidence, or that must be disclosed under law, judgment or administrative decision. In the latter case the recipient notifies the other party in advance where permitted.
12. Warranties and disclaimers
12.1 Limited functional warranty
We warrant that the Platform will materially function as described in the service description and documentation under normal use. On breach, our sole obligation is to correct the fault within reasonable time or — where that is not practicable — to give a proportionate price reduction or let the Customer terminate the agreement.
12.2 Early phase provided as is
Until the Platform has five or more paying Customers and is declared generally available, it is provided "as is" and "as available". To the extent the law permits, we disclaim all implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12.3 AI answers
AI answers are advisory. We do not warrant that they are correct, complete, current or free from bias. The Customer shall not base critical business, legal, financial or medical decisions solely on AI answers without verifying them itself.
12.4 Third-party sources
The Platform retrieves data from third-party interfaces — accounting systems, email providers and public registers. We do not warrant that such sources are available, that the data is correct, or that format changes at the source will not disrupt the Platform.
13. Limitation of liability
13.1 Indirect loss
Advitics is not liable for indirect loss, including lost profit, loss of anticipated savings, lost business opportunities, loss of reputation, or loss or corruption of data, unless the loss of data is caused by Advitics' breach of the data processing agreement.
13.2 Monetary cap
Advitics' aggregate liability under the agreement, on any legal basis, is limited to the greater of:
- (a) the total amount the Customer has paid to Advitics in the 12 months preceding the event giving rise to the claim, or
- (b) NOK 50,000
13.3 Data protection liability and mandatory liability
Nothing in the agreement limits the rights a data subject has under GDPR Article 82 or under other mandatory law. Between the parties, § 13.1 and § 13.2 also apply to claims relating to the processing of personal data, including claims under the data processing agreement and recourse claims under GDPR Article 82(5), to the extent mandatory law permits.
The limitations in § 13.1 and § 13.2 do not apply to:
- (a) damage caused wilfully or by gross negligence by Advitics or our employees in senior positions
- (b) personal injury or death
- (c) liability under the Norwegian Product Liability Act (produktansvarsloven) where it is mandatory
- (d) breach of our duty of confidence under § 11 or of the Customer's intellectual property rights
The exception in (d) does not apply to claims covered by the first paragraph, even where the matter also constitutes a breach of the duty of confidence. The exceptions in (a)–(c) continue to apply.
13.4 Time limit for claims
Claims must be brought in writing no later than twelve months after the Customer became or ought to have become aware of the circumstance giving rise to the claim. Claims brought later lapse, except claims that cannot be time-limited under mandatory law. For recourse claims under GDPR Article 82(5), the time limit is met if the Customer, within twelve months of receiving the data subject's claim, gives Advitics written notice of the claim and of possible recourse. The recourse claim itself shall be brought without undue delay after the compensation has been paid.
14. Indemnification
14.1 Ours
Advitics indemnifies the Customer against direct third-party claims that the Customer's intended use of the Platform infringes third-party intellectual property rights, provided the Customer notifies us without undue delay, lets us take control of the defence and settlement, and cooperates reasonably. This does not apply to claims arising from use in breach of the agreement or from modification of the Platform.
14.2 The Customer's
The Customer indemnifies Advitics against third-party claims arising from Customer Data or the Customer's usage patterns, the Customer's breach of § 5, the Customer's breach of data protection law as controller, or the Customer's decisions taken on the basis of AI answers without adequate verification. This does not apply to the extent the claim arises from Advitics' breach of the agreement, the data processing agreement or data protection law. Advitics notifies the Customer of the claim without undue delay and provides reasonable cooperation.
15. Suspension and termination
15.1 Contract period
Unless otherwise agreed, the agreement runs for 12 months from entry into force and renews automatically for 12 months at a time, unless terminated in writing at least 30 days before expiry.
15.2 Termination without cause
Either party may terminate on 30 days' written notice. Prepaid fees are not refunded on the Customer's termination without cause.
15.3 Termination for cause
A party may terminate the agreement for cause on the other party's material breach that has not been remedied within 30 days of written notice.
15.4 Suspension
We may suspend the service immediately on breach of § 5, on payment delay beyond 30 days, on security incidents requiring immediate action, or on order from an authority.
15.5 Effects of termination
The Customer's right of use ends, the Customer may request the handover of Customer Data under § 9.3, and the duty of confidence survives.
16. Force majeure
Neither party is liable for delay or non-performance caused by circumstances beyond the party's reasonable control, including war, terrorism, natural disasters, pandemics, strikes, fire, power failure, prolonged loss of internet connectivity or outages at subcontractors, unforeseen policy changes from language model providers, or regulatory intervention.
The affected party shall notify the other without undue delay and limit the consequences so far as reasonable. If the circumstance lasts more than 60 days, either party may terminate the agreement without liability for damages.
17. AI-specific provisions
17.1 Marking
As described in § 3.2, the AI agent is marked as AI in the interface where the Customer converses with it. Content the AI functions produce may contain errors and shall be checked, cf. § 12.3.
17.2 Errors in AI answers
AI answers may contain errors, fabricated statements, outdated information or bias from training data, and we cannot guarantee zero errors. The Customer is responsible for verifying AI answers before they are used in critical contexts — including financial reporting, legal decisions, customer communication with legal effect and health-related decisions.
17.3 No automated decisions
The Platform is not designed for, and shall not be used for, automated decisions producing legal effects or similarly significant effects for natural persons, cf. GDPR Article 22. The agents propose; humans at the Customer decide.
17.4 No training on Customer Data
Advitics does not use Customer Data to train foundation models. We use only language model providers whose terms prevent Customer Data from being used for model training. Aggregated, anonymised telemetry may be used to improve prompts and evaluation, but never raw data from the Customer's conversations or integrations.
17.5 Actions performed by agents
Where AI agents perform actions through tools, the following applies: the actions are recorded in the Customer's audit log; actions with external effect — outgoing email, customer communication, payments — require human confirmation in the interface; and the Customer may ask Advitics to switch off the AI functions for the Customer's workspace. When the Customer confirms a send-out, the Customer is responsible for ensuring that the recipients have been selected on a lawful basis, including for consent or an existing customer relationship where required, and for respecting opt-outs and unsubscribes. This allocation of responsibility does not alter § 4.4 or Advitics' obligation to follow the Customer's documented instructions and approved recipient selections.
18. Changes to these terms
Material changes to the terms are notified in writing at least 30 days before taking effect. Minor changes — correction of typos and clarifications without material content — may be published without notice. The Customer is deemed to have accepted a change by continuing to use the service after it takes effect, or may terminate the agreement without a notice period if the change is not accepted.
Changes to what has been agreed in the order confirmation, such as the fee, the service level and the contract term, require the Customer to accept a new order confirmation. Until the new one has been accepted, the previous one applies.
19. Governing law and venue
19.1 Governing law
The agreement is governed by and construed in accordance with Norwegian law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19.2 Venue
Disputes shall be sought resolved by negotiation. If negotiations do not succeed within 60 days, the dispute shall be decided by Oslo District Court.
19.3 Not a consumer purchase
The Consumer Purchases Act and the consumer provisions of the Marketing Control Act do not apply, as the agreement is purely between businesses, cf. § 1.3.
20. Miscellaneous
20.1 Severability
If a provision is invalid or unenforceable, the remaining provisions still apply. The invalid provision is replaced by a valid one achieving, as far as possible, the same economic effect.
20.2 Entire agreement
The order confirmation, these terms, the data processing agreement and the service level agreement constitute the entire agreement between the parties and supersede earlier agreements on the same subject. The privacy notice is information and not part of the agreement. The exception is the list of subcontractors in the privacy notice § 8, as reproduced in the order confirmation, which is agreed as Annex 3 to the data processing agreement.
If the documents say different things, this order applies: the order confirmation; the data processing agreement for everything concerning the processing of personal data on the Customer's behalf; the service level agreement for availability, support and compensation; and finally these terms.
20.3 Assignment
The Customer may not assign the agreement without our prior written consent, which shall not be withheld without good reason. Advitics may assign the agreement under § 1.2, or to an acquirer in connection with a merger, demerger or transfer of business, on 30 days' written notice.
20.4 Notices
Written notice to the Customer is sent to the email address the owner of the Customer's workspace is registered with, or to another address the Customer has provided in writing. Notice to Advitics is sent to info@advitics.com. Notice is deemed received one business day after dispatch.
20.5 Independent parties
The parties are independent contracting parties. The agreement establishes neither partnership, joint venture, employment nor agency.
20.6 Language
The authoritative version of the agreement is in Norwegian bokmål. Translations are for practical understanding only. In case of conflict, the Norwegian text prevails.
